The FDD franchise disclosure document is the newer and better version of the UFOD but it is just as important to the process of buying a franchise.

The FDD franchise disclosure document was introduced to the franchising world by the Federal Trade Commission who are the government big shots who say what goes and what doesn’t go in the franchising universe.  Despite the fact that the development of this important franchising document was done by the government, it is a nice step forward to bring the franchising process into the new century without too much discomfort.

During the process of buying a franchise, a number of franchise agreements fly back and forth between the franchisee and the franchisor. What the FDC is working hard to make a reality in making the FDD franchise disclosure document part of the process is that every detail of disclosure takes place between the two partners in a franchise before signatures are put on the final franchise agreements and money makes the trip from one bank account to another.

While the uniform franchise offering circular served a long and distinguished term keeping franchise transactions honest and above board, it was due for a facelift.  The FDD franchise disclosure document was that facelift. One of best improvements on the old fashioned system of franchise disclosure is that it cleared up the timing of when these documents had to be delivered to the franchisor for review.  By making sure all of the players knew the rules of the game, that made the tricky process of franchise purchase negotiation just a little less tricky.

Finally franchise disclosure information can be exchanged electronically and efficiently.

Whatever other criticisms we might have of the powers that be, in some sections of the government, there are some good things happening. How this important franchise disclosure document is managed is one of those improvements. When the UFOC became the FDD franchise disclosure document, one big improvement came in how it can be shared between franchisee and franchisor.

No longer is it absolutely essential that bulky packages have to crawl through the mail system and clutter up your mailbox.  Now the franchisee can deliver the FDD franchise disclosure document to you electronically. For most people, working with documents in digital form has become as natural as having a cup of coffee.  And now you can have this crucial franchise information on your computer screen instead of all over your living room floor. This gives you all of the tools of the computer age to review and manage it.

By getting the FDD franchise disclosure document in digital form, you can search it, cut and paste from it and even pass it along to your franchise advisors and lawyers easily and without cost.  The big shots in Washington even took their upgrade to the FDD franchise disclosure document one step further and made it possible to sign the document and make it official using electronic signatures.

Naturally some care must be taken to make sure the exchange of sensitive franchise information is kept between you and the franchisee.  But those protections are entirely possible in the world of cyberspace. It is worth taking those precautions to have the improvements that the FDD franchise disclosure document has brought to the franchising process and to the franchising world as well.

Franchise agreement forms must be signed when you begin your franchise relationship or renew it and each time it pays to review what is in those important documents.

Franchise agreement forms can be intimidating. When you set out to realize your dream of franchising a business , that vision is not of filling out a bunch of complicated legal forms. Whether you are new to the franchising game or coming back for renewal, you may greet the arrival of those franchise agreement forms with a massive groan.  But let that groan out and get it out of your system and then get a cup of coffee and read those franchise documents carefully. You will wind up in a stronger relationship with your franchisee if you do that.

There is always the impulse to get in a big hurry in your haste to want to get that franchise open fast.  Taking your time to work through your franchise agreement forms should not be seen as a nuisance.  One way to find the motivation to read every paragraph and line of those franchise agreement forms is to look for the areas of responsibility.  First of all, discover in what ways you must salute the flag of the franchisee company. Franchising a company is about much more than just hanging their sign outside the building and wearing the corporate logo on your uniform shirt.

But of greater interest to you is where the franchisee will earn their money you pay to buy the franchise and to keep paying those franchise royalties each month. There are ton of benefits to the franchisor that you get by getting into bed, so to speak, with a successful business as a franchisor. Those benefits will include training, products and advertising as well as the deep wells of wisdom the franchisee brings to the table to help you become a big success.

All of that is buried in the franchise agreement forms. Dig deep when you read through the franchise agreement forms and read them several times.  When you can virtually quote those documents chapter and verse, you will open the doors of your new franchise business with much greater confidence.

Renewal franchise agreement forms need love too.

Franchise agreement forms are not lifelong contracts.  Every so often, a time comes where both parties have a chance to step back and consider if this experiment in getting rich is working.  When those renewal franchise agreement forms show up in the mail, it is not a reason to panic.

The arrival of renewal franchise agreement forms is a chance to look at the time you have owned that business to make a decision about whether it is all living up to the grand dreams you had before you sign another set of franchising agreements to take on another tour of duty. It is a chance for you to give an honest assessment of whether the franchisee is giving you the support and service you need to be a success.

It is also a chance to take a good honest look at whether this is the franchise for you. If you decide your money making efforts would be better used elsewhere, you can always let the franchise expire and sign up with a different franchisee and put your years of hard fought experience to good use.

Your store operations manual is more than a set of rules because it makes your job easier and makes your store more profitable as well.

It is easy to think of your store operations manual as something that you are required to keep in the building so it sits on a shelf gathering dust from week to week.  That would be one of the tragedies of all time if you missed out on the real value that is buried inside that dusty old franchise operating manual.

Your store operations manual not just a boring set of rules that the franchisee wants you to know. Hidden away in that volume are guidelines and procedures that can address just about any situation you might run into in running your retail outlet. To ignore the gold that is hidden in the store operations manual is literally like setting out to reinvent the wheel. That document represents the combined wisdom and experience of the franchisee and of many skilled and very successful retailers. So blow the dust off of that puppy and crack it open.  You will be glad you did.

It is important to see the store operations manual as more than just your guide to how to stay honest in dealing with the mother ship that sold you the franchise. That store operations manual represents the safety vest for your employees who are on the front line of dealing with customers, managing inventory and interacting with vendors.

You do not want to leave those folks out in the cold.  Arm them to the teeth with a resource of information so they know exactly what they should do if problems or opportunities come up.  Give each employee a copy of the store operations manual and then they will have no excuse for not becoming employee of the month if they live up to that document.

If it has to do with making your franchise work, it is covered in the store operations manual.

Once you get a cup of coffee and start spending some time in the franchise store operation manual, the experience can be quite eye opening. Right there in that one document, right along side all the franchise information you could ever hope for are tips on how to deal with every imaginable situation in your retail setting.

The variety of areas of store issues that are covered in the store operations manual will turn that book into your Bible for running your franchise. It will cover everything from dress code to management of inventory to how to balance a till to how to fire a bad employee or promote a good one.  Perhaps the most important area of retail life that will be covered in depth in your store operations manual will be customer relations and how to bring in more customers and make the ones you already have love you even more.

No franchise retail owner or manager should let very much time go by between readings of your store operations manual. If you never looked at it, do it now. If you read it a lot, do it more. That information can take a troubled franchise and fix what ails it or take a great franchise and make it ever greater.

For any bank manager or officer, to overlook the importance of the bank operations manual would be a mistake. Whether the bank that is being managed is a full branch of a larger operation or a business entity that is subject to franchise law, the importance of the bank operations manual is not diminished.

The banking industry is heavily regulated. That is as it should be since, after all, they are dealing with your money.  A well crafted bank operations manual is there to keep the bank’s nose clean. It is there to make sure that the regulators and customers know that nobody is dipping out of anybody’s accounts and that they are handling your cash in a way that will convince you to let them guard it some more.

The tricky part of running a bank is administering fairly complicated and confusing polices and procedures and doing so while regular people work as employees or show up at your teller’s windows to deal with their money issues. The bank operations manual has to turn a neat trick of helping employees understand what is going on and what is expected of them while not talking to them in language that only a PHD in economics would understand.  To do that, a good bank operations manual must cover well the complicated issues of banking terms but explain them in plain English so employees can carry them out correctly.

Employees and customers alike rely on that bank operations manual even if they don’t know it.

To run a seriously efficient bank, you have to have employees that know their stuff. Training is at the core of how to develop a terrific team who can score with customers and live up to the many rules and regulations of the banking industry. Great training grows right out of a knock-your-socks-off bank operation manual. That resource can be your one stop shopping resource to put together a training plan. On top of that, by communicating loud and clear to employees that the bank operations manual is their best friend in doing a great job, you will find your facility copy of the bank operations manual always missing because someone will be using it every day.

The good news is that the development of your own bank operations manual can start from the experience of others.  There are a number of great operations manual templates that will jump-start the process.  Don’t be afraid to pick the brains of people who prepared these templates or of other banking experts who have the brain power you need to create a bank operations manual that can take your bank to the next level.

Too often the hotel operations manual is considered a big nuisance when you have a big hotel franchise to run. Running a hotel can be a frantic situation. It is worthwhile to think about using a Heads of Agreement Template when ironing out your business relationships prior to starting a franchise partnership.

While the Heads of Agreement Template is not always used when a franchise relationship is in the works, the format of this business tool may be valuable.  One way that you can put the Heads of Agreement Template to work is by getting it into the discussion if there are some sticking points between major potential franchise partners about how the franchise relationship will roll out once the franchises are open and big money is being made. In a similar way that the franchise agreement is meant to protect each player in the negotiation, the Heads of Agreement Template can play that same role in the drama.

It is really up to the business offering the franchise and the one that is out there to buy that franchise as to whether a Heads of Agreement Template should serve as a replacement for a standard franchise agreement or as yet another layer of franchise documentation going into the partnership. Since the Heads of Agreement Template is a format that is well known to most top dogs in the business world, it may be an agreeable format to use if things are dicey in the discussion and there is a need for a little extra punch to seal the deal.

Depending on how many areas of disagreement need to be hashed out, the Heads of Agreement Template can become complicated and lengthy.  In order for the document to be usable as a franchise agreement, however, the language used when working up a good Heads of Agreement Template for a franchise relationship must be light on the legal jargon and understandable by the average person. That is both common sense and it is part of franchise law as well.

The Heads of Agreement Template is formal but it is flexible.

The different areas that the Heads of Agreement try to get both parties to work together on focus on responsibilities, resolution of disputes and, of course, money.  By using the Heads of Agreement as a franchise document, you can get very picky about including the structure of both companies who are butting heads and how much cold hard cash is going into the new partnership which in this case is a franchise relationship.

Many times the Heads of Agreement helps when both the potential franchisee and franchisor are suspicious enough that they need it in writing how disputes will be settled and who is responsible for what and when.  In some applications of the Heads of Agreement, 14 different legal clauses can be included in the final document and each of those could break down into a lot of detail to get on paper.

It should be noted that the use of the Heads of Agreement does not require that the franchise negotiation get ugly and it isn’t written in stone that you have to use every clause that was ever invented to go into the Heads of Agreement. It is up to the franchisee and the franchisor to use this business tool and use some common sense as well so that it helps them shake hands and come out of the meeting room with smiles on their faces because a lot of money is about to be made. If everybody is an adult and uses the Heads of Agreement to hash out a sweet franchise deal, everybody can be a winner.

Living up to franchise licensing that is in compliance to state and local franchise laws is not optional.

June 17, 2011 by

Franchise licensing is a formal way of saying that to be in a franchise relationship, everybody has to play by the rules.  The rules that are the “big brother” over the franchise world are set both by the federal and state governments. Just as nobody wants to get in hot water with the IRS, to fail to live up to franchise law could mean that your franchise licensing will become a fond but distant memory.  If that doesn’t light a fire under you to live by the rules, nothing will.

The priority to be very fussy about maintaining a clean nose with the franchise licensing big dogs must be just as high for the franchising company as it is for the franchisor.  When you set out to franchise your business, the idea is not to just have one or two franchisors out there.  The big names in franchising like Starbucks or McDonalds have hundreds if not thousands of franchisors. Every one of those franchise owners but live up to the terms of franchise licensing both at the federal and state level.

You cannot run around behind that many franchise owners to know that they will not put your franchise licensing at risk.  The heart of how a franchisee manages the problem lies in those franchise agreements that get so much discussion as you enter into a franchise relationship with a new franchisor.

You can put some teeth into those franchise agreements. You can put as much detail as you need in those franchise documents to feel you have covered your bases to spell out to a new franchise owner exactly what is expected of them to protect their franchise licensing and yours as well.  In fact, it is smart to customize those franchise licenses by state so that you cover any quirks in franchise licensing laws that some states may throw into the mix.

Checking up on the other guy.

As a potential franchise owner, the idea of worrying whether the company offering a franchise to you is in compliance with the laws covering franchise licensing may never have worried you. You should let it worry you. The last thing you need is to sink your life savings into buying a franchise only to find that they are in legal hot water for not living up to the regulations covering their franchise licensing.

You can check up on the other guy before you even consider signing a franchise agreement with that business.  You can do some snooping around to find out how long they have been in the franchising game and if they have run afoul of franchise licensing legalities so far.  If you smell trouble during that background check, run!

In addition, be sure that the franchise agreements and other pertinent binding franchise documents are just as tough on the franchisee as they are on you about keeping their nose clean with the franchise licensing authorities. If the language of those documents is written to protect you in case there is a problem with franchise licensing at the mother ship, you will be glad you took the time to protect yourself going in.
